Memorandum of Understanding

Between headus (metamorphosis) Pty Ltd and Sunfun High-tech Ltd.

In order to develope the Shoes CAD system ,Part A and Part B agree with the following cooperations:

1.Part A want Part B to develope the "flatten function" for 3D face 2D outline.

2.THis function can be used as plugin mode in the Shoes CAD system.

3.Part A can progam/script the function to complete importing and exporting the object's file.

4.The object's file format can be eps ,dxf ,obj.

5.Part A use the function in the Shoes CAD system,they must pay for some fees per license to Part B.

6.Part A own the copyright of the Shoes CAD system,Part B own the copyright of the "flatten function".
