Memorandum of Understanding

Between headus (metamorphosis) Pty Ltd ("HEADUS") and Sunfun High-tech Ltd Co ("SUNFUN").

In order to develop the Shoes CAD system ("SHOES"), HEADUS and SUNFUN agree on the following:

1. HEADUS will make changes as required to its UVLayout application to support SUNFUN's goal to flatten pieces of 3D mesh into 2D outlines appropriate for shoe patterns. However, experience within the UVLayout development team is limited to flattening for the games and visual effects industries, so HEADUS cannot guarantee that the flattened shapes so produced will in fact be suitable for shoe patterns. Any changes made to UVLayout will become the sole property of HEADUS and may be included in future public releases of UVLayout.

2. UVLayout can be used as a plugin in SHOES, and to what degree the usual UVLayout interface is provided to SHOES users is the sole decision of SUNFUN.

3. HEADUS will make changes as required to UVLayout to allow the SHOES system to automate or script the import and export of files between the two applications.

4. HEADUS will provide and maintain OBJ import and OBJ, EPS and DXF export functionality in UVLayout for the duration of this agreement.

5. If SUNFUN sells or otherwise distributes copies of the SHOES systems that includes UVLayout, SUNFUN will pay HEADUS a fee per license of UVLayout so distributed. The exact sum of this fee is yet to be determined, but it will not exceed the advertized price of the Professional version of UVLayout as shown at www.uvlayout.com/buy.

6. SUNFUN retains all copyrights to its SHOES system, and HEADUS retains all copyrights to UVLayout.
